1. What the Paid Positioning Scanner Does
The Paid Positioning Scanner is an educational and commercial positioning tool designed to analyse information about your professional background and identify possible opportunities for positioning your skills in the market.
Depending on the information you provide and the version of the Scanner available to you, your results may include recommendations concerning: professional positioning; potential services or offers; ideal clients; market opportunities; Upwork positioning; professional or profile titles; keywords and search terms; service categories; pricing direction; portfolio direction; proposal positioning; apparent market demand; and suggested next steps.
The Scanner may use artificial intelligence, automated analysis, external data, and proprietary Baleseng methodologies to generate these recommendations.
The Scanner helps you make decisions. It does not make professional, financial, employment, or business decisions on your behalf.
2. Who May Use the Scanner
You must be at least 18 years old and legally capable of entering into an agreement to use the Scanner.
By using the Scanner, you confirm that: you are legally entitled to agree to these Terms; information you submit belongs to you or you have permission to provide it; you will provide information that is reasonably accurate; your use of the Scanner will comply with applicable law; and you will use the Scanner for legitimate professional, freelance, consulting, employment, career, or business purposes.
We may restrict access where we reasonably believe these requirements have not been met.
3. Purchasing the Scanner
Where payment is required, the applicable price and material purchase conditions will be displayed before you complete your purchase.
Payments for the Paid Positioning Scanner may be processed through PayFast or another payment provider made available at checkout.
Your payment may therefore also be subject to the payment provider's own terms, privacy practices, fraud controls, and processing requirements.
Baleseng does not receive or control all payment information collected directly by a third-party payment processor.
Successful payment for the Scanner gives you the access or deliverables described at the time of purchase.
Purchasing the Scanner does not automatically give you access to other Baleseng products or services, including The Paid Squad, consulting services, memberships, training programmes, software, private sessions, bootcamps, or future products.
Those products may be sold separately and may have their own terms.
4. Prices and Taxes
Prices displayed at checkout will indicate the amount payable for the Scanner.
Where required by applicable law, applicable taxes will be dealt with as required by South African law.
You are responsible for reviewing the total amount displayed before completing payment.
We may change the price of the Scanner for future purchases.
A future price change will not retrospectively alter the price of a purchase you have already completed.
5. Electronic Transactions
You acknowledge that purchasing and using the Scanner involves electronic communications and transactions.
Where legally permitted, electronic acceptance of these Terms, electronic records, payment confirmations, notices, and other electronic communications may satisfy requirements that information or agreements be provided in writing.
Nothing in these Terms limits rights that you may have under applicable South African electronic commerce or consumer legislation.
6. Information You Provide
The quality of your Scanner results depends heavily on the information you provide.
You are responsible for providing information that is reasonably accurate and complete.
If your information is incomplete, inaccurate, misleading, or outdated, your results may also be inaccurate or unsuitable.
You should not provide information that you do not have the legal right to disclose.
In particular, please do not submit passwords, banking credentials, authentication codes, confidential employer information, confidential client information, trade secrets, or another person's personal information without lawful authority.
Personal information submitted through the Scanner is handled according to the Paid Positioning Scanner Privacy Policy.
7. Artificial Intelligence
The Scanner uses or may use artificial intelligence and automated systems to analyse information and generate recommendations.
Artificial intelligence can make mistakes.
It can misunderstand your experience, make incorrect assumptions, overlook important context, rely on incomplete information, or produce recommendations that are unsuitable for your circumstances.
You are responsible for reviewing Scanner output before acting on it.
The appearance of a recommendation in your results does not mean Baleseng has independently verified that the recommendation is accurate, profitable, available, appropriate, or guaranteed to succeed.
Material decisions should be independently considered and, where appropriate, independently verified.
8. Market Information
The Scanner may analyse or reference information concerning: market demand; job opportunities; freelance opportunities; client demand; skills; industries; pricing; rates; keywords; competition; marketplace activity; and other commercial signals.
Markets change.
A service that appears attractive when your scan is generated may experience different demand later.
Rates can move. Competition changes. New technologies appear. Platforms alter their systems. Client priorities shift.
Scanner results should therefore be understood as an assessment based on information available at or around the time of analysis.
They are not permanent statements about the market.
9. No Guarantee of Employment, Clients or Income
Baleseng does not guarantee that using the Scanner will result in: employment; profile views; invitations; interviews; freelance contracts; consulting clients; job offers; a particular hourly rate; increased income; improved search ranking; business growth; revenue; profit; or any other particular professional or financial outcome.
Your results depend on circumstances outside Baleseng's control.
These can include your skills, experience, location, execution, communication, portfolio, pricing, reputation, market conditions, competition, client demand, economic conditions, third-party algorithms, and decisions made by employers or clients.
Testimonials, examples, case studies, earnings figures, or success stories associated with Baleseng, The Paid Squad, Scanner users, clients, freelancers, or other individuals should not be interpreted as guarantees of your results.
10. Upwork and Other Third-Party Platforms
The Scanner may provide analysis or recommendations relating to Upwork and other third-party platforms.
The Paid Positioning Scanner, The Paid Squad, Baleseng Co (Pty) Ltd, and Baleseng & Co, LLC are independent from Upwork.
Unless expressly stated otherwise, none of these businesses or products is sponsored, endorsed, administered by, affiliated with, or operated by Upwork.
“Upwork” and other third-party names, trademarks, logos, products, and features belong to their respective owners.
Baleseng does not control a third-party platform's: algorithms; fees; Connect requirements; search rankings; account decisions; suspensions or restrictions; client behaviour; APIs; marketplace demand; feature availability; policies; or terms of service.
You are responsible for complying with the current rules and terms of every third-party platform you choose to use.
A Scanner recommendation never overrides a third-party platform's rules.
11. No Professional Advice
The Scanner provides educational, informational, and commercial positioning information.
It does not provide legal, tax, accounting, financial, investment, immigration, employment, or other regulated professional advice.
Use of the Scanner does not create an attorney-client, financial adviser-client, fiduciary, employment, partnership, agency, consultancy, or similar professional relationship between you and Baleseng.
Separate consulting or professional services purchased from Baleseng may be governed by a separate agreement.
12. Your Scanner Results
Subject to these Terms, you may use the personalised results generated for you for your own career, freelance practice, consultancy, professional activity, or business.
For example, you may use or adapt your recommendations for your: Upwork profile; professional title; service offering; portfolio; proposals; résumé or CV; professional biography; website; marketing materials; client positioning; or business planning.
You may edit, adapt, shorten, expand, or otherwise make practical use of recommendations generated specifically for you.
This permission relates to your results.
It does not transfer ownership of the Scanner, its methodology, software, prompts, assessment structure, scoring logic, or other Baleseng intellectual property.
13. Intellectual Property
The Scanner contains intellectual property owned by or licensed to Baleseng Co (Pty) Ltd and/or Baleseng & Co, LLC.
This may include: the Paid Positioning Scanner name and branding; proprietary methodologies; assessment structures; questions and question sequences; scoring systems; recommendation systems; report structures; prompts and prompt architecture; software and source code; workflows; databases and data structures; proprietary frameworks; written materials; educational materials; original research; graphics; interfaces; templates; and other original content.
Except for the rights expressly granted in these Terms, all applicable intellectual-property rights remain with their respective owners.
Using or purchasing the Scanner does not transfer ownership of this intellectual property to you.
14. Your Results Are Yours to Use. The Scanner Is Not.
You may commercially benefit from the professional positioning generated for you.
If the Scanner recommends that you position yourself as a particular type of consultant, use a particular professional title, pursue a particular service, or structure your own offer in a certain way, you may act on that recommendation.
You may also earn money using the positioning developed from your scan.
You may not take the Scanner's underlying system and turn it into your own product.
This includes copying its assessment, question structure, methodology, prompts, output architecture, scoring systems, proprietary frameworks, or recommendation logic to build or sell a competing product or service.
Put simply: Your result is yours to use. The machine that produced it is ours.
15. Prohibited Uses
You may not: copy, reproduce, republish, or commercially redistribute substantial portions of the Scanner; sell access to the Scanner without our written permission; create a competing positioning scanner, diagnostic product, assessment, course, software product, GPT, AI agent, template, or service by copying Baleseng's proprietary materials; reverse engineer or attempt to discover the Scanner's source code, prompts, system instructions, scoring logic, algorithms, or proprietary workflows; systematically extract Scanner content or data using bots, crawlers, scrapers, scripts, automated requests, or similar technology without written permission; circumvent payment systems, authentication, security controls, usage restrictions, or access limits; attempt to gain unauthorised access to the Scanner or related infrastructure; interfere with the operation, security, or performance of the Scanner; upload malicious code or software; use the Scanner to infringe another person's privacy, intellectual-property, contractual, or other legal rights; impersonate another person or deliberately provide fraudulent information; use the Scanner for unlawful purposes; or falsely represent that you are certified, employed, endorsed, partnered with, or otherwise officially associated with Baleseng, The Paid Squad, Upwork, or another organisation.
We may restrict or terminate access where we reasonably believe the Scanner is being misused.
16. Protection Against Model and Method Extraction
You may not deliberately use repeated queries, automated requests, prompt injection, systematic testing, data extraction, or similar techniques for the purpose of reconstructing or discovering non-public elements of the Scanner.
This includes attempts to extract: system prompts; internal instructions; proprietary prompts; decision rules; scoring methodology; datasets; recommendation logic; internal documentation; source code; or other protected components.
This restriction does not prevent ordinary use of the Scanner or reasonable exploration of your own personalised results.
17. Feedback
If you voluntarily provide suggestions, comments, ideas, feature requests, or other feedback about the Scanner, you give Baleseng permission to use that feedback to develop, operate, market, and improve its products and services without an obligation to compensate you.
Providing feedback does not transfer ownership of your unrelated intellectual property to Baleseng.
18. Third-Party Technology
The Scanner may depend on third-party technology and services.
These may include providers of artificial intelligence, hosting, databases, analytics, authentication, email, payments, APIs, security, and other infrastructure.
Those services may experience outages, modify their products, change their pricing or functionality, or discontinue features.
Baleseng cannot guarantee the continuous availability of systems controlled by third parties.
19. Availability and Changes to the Scanner
We may update, modify, improve, replace, restrict, suspend, or discontinue features of the Scanner as the product develops.
We may also correct errors or change the way recommendations are generated.
We do not guarantee that every feature available today will remain available permanently.
Where a material change affects a paid service that you have already purchased, we will handle that change in accordance with applicable law and the terms applicable to your purchase.
20. Refunds and Consumer Rights
Any specific refund or cancellation policy applicable to your purchase will be disclosed at or before checkout where appropriate.
Nothing in these Terms is intended to remove, waive, or restrict rights that you have under applicable South African consumer law where those rights cannot legally be excluded.
Depending on the nature of the transaction and the circumstances, rights or obligations may arise under legislation including the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002.
Where a statutory consumer right applies, these Terms will be interpreted consistently with that right.
21. Suspension and Termination
We may suspend, restrict, or terminate access to the Scanner where reasonably necessary because of: material violation of these Terms; fraud; unlawful activity; attempted security breaches; abuse of the Scanner; unauthorised copying or redistribution; infringement of our intellectual property; or non-payment where payment is required.
Serious security, fraud, or abuse concerns may require immediate restriction.
Where appropriate and reasonably possible, we may provide notice.
You may stop using the Scanner at any time.
Provisions that reasonably need to continue after termination, including intellectual-property protections, restrictions on misuse, and applicable liability provisions, will survive termination.
22. Disclaimer of Warranties
To the maximum extent permitted by South African law, the Scanner is provided on an “as is” and “as available” basis.
Baleseng does not guarantee that: every recommendation will be accurate; every market assessment will remain current; the Scanner will always be available; the Scanner will operate without error; every recommendation will suit every user; or following a recommendation will produce a particular result.
This section does not exclude warranties, statutory guarantees, or consumer protections that cannot lawfully be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable South African law, Baleseng will not be liable for indirect, incidental, consequential, special, or similar loss arising from your use of, inability to use, or reliance upon the Scanner.
This may include, where legally permissible, loss associated with professional decisions, employment decisions, client opportunities, third-party platform activity, business expenditure, lost revenue, or lost profits.
Where liability cannot legally be excluded or limited, this provision will apply only to the maximum extent permitted by law.
Nothing in these Terms excludes liability or consumer remedies that cannot lawfully be excluded.
24. Your Responsibility for Decisions
The Scanner can recommend a direction. You decide whether to take it.
You remain responsible for decisions involving your: career; employment; resignation; freelance work; consultancy; pricing; clients; contracts; proposals; profiles; platform spending; Connect purchases; software purchases; business expenditure; taxes; professional representations; and regulatory obligations.
You should independently verify important information before making a decision that carries significant financial, legal, or professional consequences.
25. Indemnification
To the extent permitted by South African law, you agree to indemnify Baleseng against reasonable third-party claims, liabilities, losses, or costs arising directly from: your unlawful use of the Scanner; your material breach of these Terms; or your infringement of another person's legal rights through your use of the Scanner.
This provision does not limit rights or remedies available to you under applicable consumer law.
26. Privacy and POPIA
Personal information collected through the Scanner is processed in accordance with the Paid Positioning Scanner Privacy Policy.
Baleseng processes personal information subject to applicable South African privacy law, including the Protection of Personal Information Act 4 of 2013 (POPIA).
The Privacy Policy explains in greater detail what information we collect, why we process it, how it may be shared or transferred, how long it may be retained, and the rights available to you.
The Privacy Policy should be read together with these Terms and the Paid Positioning Scanner Disclaimer.
27. Governing Law and Jurisdiction
These Terms, your use of the Paid Positioning Scanner, and any dispute arising from or relating to the Scanner will be governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.
Where applicable, these Terms are subject to mandatory protections available under South African law, including the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, and other applicable consumer legislation.
Any dispute that cannot be resolved directly between you and Baleseng will be subject to the jurisdiction of the courts of the Republic of South Africa, except where applicable law gives you the right to pursue another statutory dispute-resolution process or forum.
Nothing in these Terms is intended to limit or waive any consumer right that cannot lawfully be excluded.
28. Resolving Problems
If you have a complaint concerning the Scanner, we encourage you to contact Baleseng first so that we have an opportunity to investigate and attempt to resolve the issue.
Nothing in this section prevents you from exercising a statutory right to approach an applicable consumer, regulatory, judicial, or dispute-resolution body.
29. Changes to These Terms
We may update these Terms as the Scanner develops, our business changes, or applicable laws change.
The current version will display its effective date and last-updated date.
Where required by law, we will provide reasonable notice of material changes.
Changes will not retrospectively remove rights that you have already acquired under applicable law.
30. Severability
If a provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited only to the extent reasonably necessary.
The remaining provisions will continue to apply.
31. No Waiver
If Baleseng does not immediately enforce a provision of these Terms, that does not mean we have waived the right to enforce it later.
32. Entire Agreement
These Terms, together with the Paid Positioning Scanner Privacy Policy; Paid Positioning Scanner Disclaimer; and any additional purchasing terms expressly presented to you at checkout, form the agreement governing your purchase and use of the Scanner.
Other Baleseng products and services may be governed by separate agreements.
